AMC Entertainment Holdings, Inc., based in Leawood, Kansas, has received preliminary approval from a federal court in New York for a proposed settlement in a civil action brought by shareholders Dennis J. Donoghue and Mark Rubenstein. The lawsuit alleges that the Antara Defendants, including Antara Capital Master Fund LP, Antara Capital Fund GP LLC, Antara Capital LP, Antara Capital GP LLC, and Himanshu Gulati, realized “short-swing” profits under Section 16(b) of the Securities Exchange Act of 1934 in connection with their trading of AMC securities.
As part of the proposed settlement, AMC stands to recover $3,300,000 from the Antara Defendants, with the Antara Defendants being released from any claims of violations of the Exchange Act. A hearing to finalize the settlement is scheduled for May 2, 2024, in New York City.
